Terms of Service

Last updated: 28 August 2026

These Terms govern your access to and use of the Bunchee product family — bunchee.cloud (this website), accounts.bunchee.cloud (the identity and organization hub), and web.bunchee.cloud (the accounting application) — operated by Decoding Co., Ltd. ("Bunchee", "we", "us", or "our"). By creating an account, creating an organization, or otherwise accessing any of these services, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.

Service Description

Bunchee is a business-to-business platform consisting of bunchee.cloud, the marketing and information site you are reading; accounts.bunchee.cloud, which provides identity, authentication, organization, and access-management services, including single sign-on, SCIM provisioning, and IAM roles and permissions; and web.bunchee.cloud, a multi-tenant bookkeeping and financial-management application. We reserve the right to modify, suspend, or discontinue any part of the service, with reasonable notice where the change is material.

Eligibility

Bunchee is a business service. You must be able to form a legally binding contract under the laws of Thailand to create an account, and if you are registering on behalf of an organization, you confirm you are authorized to act for that organization and to accept these Terms on its behalf.

Organizations, Roles, and Access

Your use of accounts.bunchee.cloud and web.bunchee.cloud is organized around one or more "organizations," each with its own members, custom subdomain, and IAM configuration. Your organization is responsible for assigning roles and permissions to its members appropriately, including designating organization owners and administrators, and for promptly removing access for members who should no longer have it. Where your organization enables enterprise SSO or SCIM provisioning, your organization is responsible for the accuracy and security of the connected identity provider.

Account Responsibility

You are responsible for maintaining the confidentiality of your credentials, including your password, passkeys, two-factor recovery codes, and any API keys you generate, and for all activity that occurs under your account. If your organization enables single sign-on or user provisioning through an external identity provider, you are also responsible for the security of that provider. Notify us immediately at it@decoding.co.th of any unauthorized use of your account.

Acceptable Use

You agree to use Bunchee only for lawful purposes and in accordance with these Terms. You must not use the service to engage in unauthorized access to any account, organization, or system; to distribute malware; to interfere with or disrupt the integrity or performance of the service; or to violate the rights of others.

Prohibited Activities

You may not: attempt to circumvent authentication, rate-limiting, or other security measures; reverse engineer the service; use automated tools to scrape data or abuse our APIs beyond documented rate limits; attempt to gain access to an organization, IAM role, or permission you have not been granted; register OAuth clients or SSO/SCIM connections you are not authorized to configure; or impersonate another user, organization, or Bunchee itself.

Subscription and Access

Access to web.bunchee.cloud is provided under the subscription plan agreed between your organization and Bunchee. Subscriptions are billed through Stripe, our payment processor, and the payment transaction itself is additionally subject to Stripe's own terms. We may suspend or terminate access for material breach of these Terms, including non-payment, security threats to the platform, or unlawful use, and will provide notice where reasonably practicable.

Billing, Seats, and Usage Charges

Paid plans are billed per seat on a calendar-month cycle, invoiced on the first day of each month. A subscription that starts partway through a month is charged at checkout only for the remaining days, prorated to the first of the following month, then billed in full each month after that. A subscription that starts shortly before month-end is instead billed on a cycle measured from its own start date, not aligned to the first.

Seat count follows your organization's membership. Adding a member beyond the current seat count activates the new seat immediately and bills it prorated for the remainder of the current period. Removing a member reduces the seat count immediately; the unused portion already paid for is recorded as a prorated credit applied to the next invoice — a mid-period removal does not generate a cash refund.

Storage is metered against a fixed allowance based on the peak usage recorded during the billing period. Any amount above the allowance is rounded up to the next whole gigabyte and billed as a usage-based item on the following invoice, at the published per-gigabyte rate. Recorded seat counts and peak storage usage are the basis for all charges above.

All amounts are billed through Stripe, with taxes applied where required by Thai law.

Your Responsibility for Business Data

You are solely responsible for the accuracy, legality, and completeness of the accounting, financial, and business data your organization enters into web.bunchee.cloud, and for ensuring that data is maintained in compliance with applicable tax and accounting laws. Bunchee is not a substitute for professional accounting, tax, or legal advice, and we are not responsible for your organization's bookkeeping, tax filings, or business decisions made using the platform.

Data Ownership

As between the parties, your organization retains full ownership of all data it or its users submit to the service, including its accounting records and business data. We do not claim any intellectual property rights over your organization's data and use it only to provide, secure, and support the service, as described in our Privacy Policy.

Data Processing and Privacy

Where we process personal data on your organization's behalf — including data about your organization's own employees or customers entered into web.bunchee.cloud — we do so as a data processor acting on your organization's documented instructions, as further described in our Privacy Policy. Your organization remains responsible for having a lawful basis to provide that personal data to us.

Intellectual Property

bunchee.cloud, accounts.bunchee.cloud, web.bunchee.cloud, and their underlying software, design, and content are owned by Decoding Co., Ltd. and protected by intellectual property laws. Nothing in these Terms transfers any of our intellectual property to you. You and your organization retain ownership of the data you submit to the service, as described in our Privacy Policy and in the Data Ownership section above.

Service Availability

We use commercially reasonable efforts to keep the service available and to perform scheduled maintenance with advance notice where practicable. We do not guarantee uninterrupted availability and are not liable for downtime caused by factors outside our reasonable control, including outages of our infrastructure or third-party providers.

Any liability arising from service availability remains subject to the limitation of liability set out in the Limitation of Liability section of these Terms.

Suspension, Termination, and Data Export

Either party may terminate the subscription in accordance with the agreed plan terms. Upon termination, your organization may export its data for a reasonable period before it is deleted from our systems, except where we are required by law — including accounting-record retention requirements — to retain certain records for longer.

Service Provided "As Is"

Bunchee is provided on an "as is" and "as available" basis. While we take reasonable steps to keep the service secure and available, we do not warrant that it will be uninterrupted, error-free, or free of vulnerabilities.

Limitation of Liability

To the maximum extent permitted by applicable law, Decoding Co., Ltd.'s total aggregate liability arising out of or in connection with the service or these Terms, whether based on contract, tort, or any other legal theory, is limited to the total fees your organization actually paid for the service in the 12 months preceding the event giving rise to the claim. This cap does not apply to, and does not limit, liability for death or personal injury caused by our negligence, for fraud or willful misconduct, or for breach of our confidentiality or intellectual property infringement obligations, or any other liability that cannot be excluded or limited under the laws of Thailand.

Subject to the cap and exclusions above, Decoding Co., Ltd. disclaims all liability for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, or business, arising out of or in connection with the service or these Terms, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold Bunchee harmless from claims arising out of your misuse of the service, violation of these Terms, or violation of applicable law in connection with the data you or your organization submits to the platform.

Governing Law

These Terms are governed by the laws of Thailand. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Modifications

We reserve the right to modify these Terms at any time. We will update the "Last updated" date and, for material changes, provide reasonable notice. Continued use of the service after changes take effect constitutes acceptance of the new Terms.
